These brand guidelines (the “Guidelines”) outline the expected behaviors and guidelines under which any licensee (“you”) may use Offchain Labs’ brand assets, which include, but are not limited to, the following:

By using or reproducing the Offchain Brand Assets, you are agreeing to abide by these Guidelines, which form a binding agreement between you and Offchain Labs. Please note that, no matter the authorization, any goodwill generated by the use of the Offchain Brand Assets shall inure solely to the benefit of Offchain Labs. This policy may be updated by Offchain Labs at its discretion from time to time.

First things first, why Guidelines? We aim to foster a collaborative and respectful environment while safeguarding the integrity and value of the Offchain Brand Assets for the benefit and the well-being of our community members. While we encourage use of the Offchain Brand Assets by members of our ecosystem, and innovation of Offchain Labs’ technology, we want to ensure that the Offchain Brand Assets are used in an acceptable and consistent manner, not only to protect the Offchain Brand Assets, but to ensure that use by others does not mislead or confuse.

If you’re unsure about how to use the Offchain Brand Assets or see a use case that’s not covered by these Guidelines, feel free to email [email protected]. It helps if you send a description and mockup of your intended use or links so we can be specific in our response.

General Guidelines: Please follow the below best practices in using the Offchain Brand Assets:

● Commercial Use:

o Use the Offchain Brand Assets only for approved use cases.

o You can use the Offchain Brand Assets to help promote your business or project that uses Offchain Labs’ technology, or to reference Offchain Labs in your documentation, media outreach and research papers. For example, if accurate, it’s okay to say: ▪ “Powered by Offchain” ▪ “Built by Offchain” ▪ “A Product by Offchain” ▪ “A tool built for exploring Offchain”

o In promoting your business or project, make only truthful statements about your relationship and interest in Offchain Labs.

● Merchandise: While Offchain Labs may offer merchandise featuring the Offchain and Arbitrum Brand Assets, Offchain Labs doesn’t generally allow third parties to make, sell, or give away anything with the Offchain and Arbitrum Brand Assets on it without express permission.

Offchain Labs reserves the right to revoke this limited license at any time.

● Sponsorships: You can display the Offchain Brand Assets in connection with an event and initiative sponsored by Offchain Labs. No one may claim sponsorship or partnership unless a formal agreement with Offchain Labs is in place.

● Media: You can use the Offchain Brand Assets in connection with references to Offchain Labs in books, articles, blog posts and other similar content.

● Formatting. Follow the spacing, color and formatting guidelines for the Offchain Brand Assets outlined below and in the Brand Guidelines Deck.

Please don’t do any of the below:

● Use, incorporate or combine any of the Offchain Brand Assets or the word OFFCHAIN as part of your business name, product or project name, educational materials, domain name, internet account name, or social media name (unless specifically permitted by your approved grant agreement, or otherwise authorized by Offchain Labs in writing).

● Combine any of the Offchain Brand Assets with anyone else’s name, trademark, or logo.

● Attempt to register or register the Offchain Brand Assets as part of a trademark or service mark, either alone or in combination with your own or any third-party trademarks.

● Sublicense or give third parties permission to use the Offchain Brand Assets, unless you have written permission from Offchain Labs to do so.

● Use the Offchain Brand Assets in a way that misrepresents your relationship with Offchain Labs, or that incorrectly implies a relationship that doesn’t exist.

● Use the Offchain Brand Assets in a way that causes damage or otherwise injures or brings disrepute to Offchain Labs or the Offchain Labs community.

● Use the Offchain Brand Assets in connection with a blockchain network or technology not developed by Offchain Labs.

● Use the Offchain Brand Assets in any way that is false, misleading, deceptive, fraudulent, or otherwise in connection with illegal, defamatory, or other unlawful activity.

● Use the Offchain Brand Assets in a way that could damage or diminish the reputation and goodwill of Offchain Labs or the Offchain Brand Assets.

Notice Language

If you use the Offchain Brand Assets in any of the approved contexts as outlined above, the following notice text should appear somewhere nearby your first or most prominent use of the

Brand Assets: “[mark]” is a trademark of [Offchain Labs]. All rights reserved.” and, where appropriate also: “This is an independent project, not affiliated with, sponsored or endorsed by [Offchain Labs].”

If this is not practical, you may include these notices on the credits page instead.

Formatting Guidelines

Reporting and Social Media Engagement

● We encourage reporting any improper use of the Offchain Brand Assets, including suspicious or fraudulent activities, or uses not covered by these Guidelines, by contacting us at [email protected]. Rapid reporting helps us maintain a secure and trustworthy ecosystem.

● Protecting the safety of Offchain Labs users is paramount. Offchain Labs will address misuse of the Offchain Brand Assets and Offchain Labs’ technology; please do not address misuse of the Offchain Brand Assets and Offchain Labs’ technology on your own accord.

For accurate information, official announcements, and updates, refer to Offchain Labs’ official communication channels and platforms listed below. This helps avoid misinformation and confusion. These channels include:
